American Family Mutual Insurance Company has announced plans to acquire all remaining shares of Bowhead Specialty Holdings in an all-cash transaction valuing the insurer at approximately $1.2 billion. This acquisition is significant for brokers engaged in casualty, professional liability, or healthcare liability business with Bowhead. Concurrently, Bowhead released its quarterly financial results and canceled a previously scheduled earnings call.
Under the agreement's terms, Bowhead shareholders will receive $34.00 per share, representing an 11% premium over the closing price as of July 31, 2026. American Family, which initially invested in Bowhead in 2020, holding 14.3% of its stock, expects the acquisition to close by the end of 2026, subject to regulatory approvals and Bowhead stockholder approval. This acquisition is fully financed through American Family's cash and liquid assets, effectively sidelining financing risk often seen in such deals.
Post-acquisition, Bowhead will retain its brand and operate independently within the American Family framework. Bowhead's current leadership, including CEO and President Stephen Sills, will remain unchanged. Brokers are advised that existing processes and placements with Bowhead will be unaffected during the acquisition process, ensuring continuity in services.

Financially, Bowhead saw a 28.2% increase in gross written premiums, reaching $297.9 million in the second quarter, with notable growth in the casualty division.
Net income rose by 30.8% to $16.1 million, and the combined ratio improved to 95.9%, demonstrating enhanced operational efficiency.
