Carbon Underwriting Secures Investment to Expand AI Capabilities

Carbon Underwriting has secured a growth equity investment from FTV Capital, aiming to bolster the development of Carbon's Graphene data and analytics platform and expand its artificial intelligence capabilities. This funding supports Carbon's operations growth in the United States. Specializing in delegated authority underwriting, Carbon operates its own syndicate at Lloyd's, while FTV Capital focuses on financial technology and service companies.

This investment occurs amid scrutiny of private capital's growing influence within the Lloyd's market. Industry voices, like Munich Re's Stefan Golling, have expressed concerns about the different informational backgrounds of capital entering the insurance sector. Zurich's chief executive has also noted potential conflicts between private equity's short-term investment horizons and the long-term nature of insurance liabilities. Carbon addresses some of these concerns by continuing under its current management, maintaining independent operation without new ownership.

Carbon reported a significant increase in premiums, from £150 million to £471 million between 2023 and 2026, achieving what it describes as market-leading loss ratios. This growth aligns with Carbon's diversification beyond property and casualty into sectors like international healthcare. Earlier this year, the company appointed leadership for a new division focused on healthcare portfolios across various regions, with FTV's investment aiming to replicate this expansion strategy in the U.S. market.

Carbon's leadership remains unchanged, with Jacqui Ferrier as CEO and Ben Laidlaw as Managing Director. Ferrier emphasized Carbon's ambition, since its 2018 inception, to set a global standard in delegated underwriting, highlighting FTV's experience and presence in the U.S. and broader MGA market as beneficial. Laidlaw noted significant investor interest throughout the Lloyd's and London insurance markets, although whether a formal competitive process occurred remains unclear.

Jeniv Shah, a partner at Apiary Capital, noted their ongoing investment in Carbon since 2023 and observed the company's diversification into new markets. The nature of Apiary's continued involvement with Carbon post-investment was not detailed in the announcement.

The deal exemplifies a trend of consolidation in the UK's managing general agent (MGA) sector. MGAs account for over 10% of the UK's £47 billion general insurance premium pool, with notable membership growth in the Managing General Agents' Association. Recent activities include Bain Capital's investment in the broker Jensten Group. FTV's Vostrizansky remarked on Carbon's data-driven market approach and underscored the untapped potential in the U.S. market. FTV's Global Partner Network and operational resources will be accessible to Carbon through this investment.

Howden Capital Markets & Advisory acted as the exclusive financial adviser to Carbon, while Houlihan Lokey and Acrisure Re Corporate Advisory & Solutions provided advice to FTV. The financial terms of the deal remain undisclosed.
