Roadzen Acquires EliteCover to Expand AI-Powered Commercial Auto Insurance Platform

Roadzen Inc. has completed its acquisition of majority control of EliteCover Insurance Solutions, Inc., a licensed commercial auto insurance broker and managing general underwriter (MGU) operating in key U.S. states including California, Texas, Illinois, and New Jersey. This strategic acquisition solidifies Roadzen's position in the $80 billion U.S. commercial auto insurance market by leveraging EliteCover's underwriting authority, regulatory licenses, and extensive distribution network alongside Roadzen's advanced AI, telematics, and automated claims capabilities. The deal is non-dilutive and anticipated to add over $8 million in annual revenues within the next year, with projected Adjusted EBITDA margins exceeding 25%. Since its inception in February 2025, EliteCover has rapidly scaled its operations to an annualized premium run-rate nearing $20 million, supported by a client base of over 90 fleet operators and a potential pipeline exceeding $100 million in annual premiums through more than 400 agencies. Integration of Roadzen's platforms—DrivebuddyAI, xClaims, and GDN—into EliteCover's operations will enable predictive underwriting, driver-risk scoring, real-time claims automation, and connected roadside assistance, collectively enhancing risk management and operational efficiency across commercial fleets. This combined capability presents an advanced, technology-driven model addressing rising fleet insurance costs and inflationary pressures within the sector.
