Porch Group Expands Homeowners Insurance Market with Acquisition of Allied Trust

Porch Group has announced its strategic acquisition of Allied Trust's insurance operations, a move set to significantly amplify its presence in the southeastern U.S. homeowners insurance market.

This expansion is particularly impactful in Louisiana, where Allied Trust holds a substantial portion of its market. The acquisition is a significant pivot for Porch, marking its foray into this market via the Porch Insurance Reciprocal Exchange. Allied Trust's established insurance operations span Louisiana, Texas, South Carolina, and North Carolina, with Louisiana playing a pivotal role in its future premium forecasts.

Financial Implications and Future Projections

Porch anticipates that the acquisition will generate an estimated $200 million in Reciprocal Written Premiums and around $25 million in Adjusted EBITDA, not including the Reciprocal, in the first full year following finalization. This aligns with Porch's strategy to harness Allied Trust's extensive claims data, which will be integrated with Porch's proprietary data to enhance operational efficiencies in pricing, underwriting, and risk evaluation.

Upon completion, Allied Trust will continue its operations under a structure akin to Porch's insurance model. The deal involves an initial purchase price of $55 million in cash for Allied Trust’s insurance carrier, subject to adjustments. A future deferred consideration of $50 million is also anticipated within twelve months, payable in cash or Porch shares.

Structural and Strategic Alignments

The transaction comes as part of a broader strategic plan by Porch to swiftly expand its insurance platform. The acquisition includes Allied Trust's managing general agency and captive reinsurance entity, valued at a base price of $95 million, which comprises $75 million in cash and an estimated $20 million in Porch common shares.

Looking further ahead, if the transaction closes by January 1, 2027, Porch projects achieving over $900 million in Reciprocal Written Premiums, 360,000 Reciprocal Policies Written, and $180 million in Adjusted EBITDA during 2027. Porch plans to present official guidance once regulatory approvals are secured and the acquisition is concluded.

Operational Synergies and Integration Goals

According to Matt Ehrlichman, CEO of Porch Group, this acquisition represents a strategic opportunity, enhancing Porch's offerings and market share within Louisiana, a state with strong growth potential. The integration of Allied Trust's experienced team and extensive claims data expects to enhance Porch's operational precision significantly.

  • Initial acquisition payment: $55 million cash, contingent on surplus and debt adjustments.
  • Deferred consideration: $50 million within 12 months, payable in cash or shares.
  • Managing agency and reinsurance entity acquisition: $95 million base, combining cash and shares.

The acquisition is slated to close in the first quarter of 2027, pending regulatory clearance and typical closing conditions. Additionally, Porch's at-the-market equity offering could bolster capital flexibility and support continued growth initiatives.
