Venerable Holdings Completes $4.5B Asset Migration with Guardian Life

Venerable Holdings has inked an agreement with The Guardian Life Insurance Company of America to migrate approximately $4.5 billion in separate account assets to Venerable’s investment advisory platform. These assets are currently integrated within Guardian’s variable products trust. The initiative involves reorganizing the funds through mergers into a variable insurance mutual fund trust, managed by SunAmerica Asset Management, a Venerable subsidiary.

Separate accounts play a pivotal role in supporting variable insurance products like annuities and life insurance policies, with investment performance affecting policyholder values and benefits. The planned mergers endeavor to uphold existing investment strategies while transitioning these assets to a broader advisory platform. Venerable anticipates consolidation will enhance scalability, foster growth opportunities, and provide a cost-effective fund lineup for policyholders.

Once finalized, SunAmerica Asset Management will oversee the restructured funds. Acquired by Venerable in 2026, SunAmerica is set to be integral to the new management framework. Venerable Investment Advisers and SunAmerica Asset Management manage mutual funds underpinning variable annuity operations tied to Venerable Insurance and Annuity Company and Corebridge. This transaction with Guardian aims to significantly expand the investment management platform.

The deal is expected to conclude in late 2026, pending conventional conditions such as a shareholder proxy process and approvals from involved fund shareholders. A proxy solicitation is on the horizon to brief shareholders on the mergers and facilitate their voting. Whether the essential approvals will be secured or if the transaction will proceed as anticipated remains uncertain.

Venerable's strategic focus is on owning and managing legacy variable annuity businesses, having acquired portfolios from multiple insurance firms. Operating privately across Pennsylvania, Iowa, Texas, and New York, Venerable was established by an investor consortium led by affiliates of Apollo Global Management, Crestview Partners, Reverence Capital Partners, and Athene Holding. The company emphasizes long-term management of insurance and investment operations.
