Brookfield Wealth Solutions and Brookfield Corporation Merger Approved

Brookfield Wealth Solutions BNT shareholders have approved all proposals during the company's annual general and special meeting. A key resolution includes the merger of Brookfield Wealth Solutions with Brookfield Corporation into a single publicly listed entity.

Lori Pearson, Chair of the Board, announced that the merger will integrate operations under the new Brookfield Corporation Limited, referred to as “New BN.” This restructuring aims to streamline corporate operations, enhance capital efficiency, and facilitate global index inclusion.

The transaction is expected to conclude by the end of 2026, pending approval from the Ontario Superior Court of Justice and other regulatory compliance requirements.

During the virtual meeting, Corporate Secretary Seamus MacLoughlin outlined the voting procedures. Lyndsay Hatlelid confirmed quorum, and Pearson revealed that management secured proxy votes for a significant majority of Class A, B, and C shares in favor of the resolutions.

Preliminary results post-voting showed successful election of directors, including William Cox, Anne Schaumburg, and Dr. Soonyoung Chang for Class A, with other directors elected for Class B. Elected members are poised to steer the company forward.

Thomas Corbett, CFO, highlighted growth since the 2021 spinoff, noting $180 billion in managed insurance assets and robust capital, ensuring policyholder commitments and investment flexibility. The company spans retail and institutional annuity businesses, and a property and casualty division, promoting diversification.

Brookfield is focused on expanding product offerings and distribution for annuity sectors, utilizing Brookfield Asset Management expertise to reposition investment portfolios. Geographic expansion, particularly into Asia, aims to deliver returns on invested capital of 15% or higher. The planned merger is crucial for sustaining growth and capital access, supporting Brookfield's insurance and investment objectives.
