Vistria Group Acquires Lumen Holdings: Elevating US MGA Landscape

The Vistria Group has strategically entered a burgeoning sector of the US insurance landscape with the acquisition of Lumen Holdings, a technology-driven managing general agent (MGA) based in Dallas, Texas. This move aligns with Vistria's broader financial services strategy to capitalize on growth opportunities within the MGA model, which is attracting increased interest from insurance carriers and investors alike.

According to an AM Best market segment report from June 2025, MGA premiums surged by 15% in 2024, reaching $89.9 billion. This represents the fourth consecutive year of double-digit growth. The number of MGAs with direct premiums written of at least $500 million rose to 19 in 2024 from 12 the previous year, with six MGAs surpassing the $1 billion threshold, illustrating robust expansion from the previous year.

Vistria, managing assets worth $17 billion and after closing its fifth flagship fund at $3 billion in January 2025, views the acquisition of Lumen as a culmination of strategic planning efforts within the specialty MGA market. Lumen, founded in 2019, specializes in underwriting commercial property, builders' risk, general liability, personal auto, homeowners, and umbrella insurance, distributing through a vast network of national wholesale and retail brokers across over 30 states.

Central to Lumen's operations is KURRENT, a proprietary cloud-based underwriting and distribution platform. CEO Scott Whitaker explains that KURRENT eliminates reliance on external systems by managing submission intake to policy delivery, endorsement processing, and real-time portfolio analytics internally. In early 2024, Lumen extended this platform to personal insurance lines via its subsidiary, Lumen Select, partnering with Cimarron Insurance Company to offer products in Oklahoma, Arkansas, Missouri, and Texas.

Whitaker notes that Vistria's partnership will bolster Lumen’s capacity to attract underwriting talent and develop new programs through the KURRENT platform. Additionally, Lumen’s board will welcome industry veterans Albert Benchimol, Mark Smith, and Brian McDermott, bringing invaluable experience to bolster operations.

Boris Rapoport, senior partner and co-head of financial services at Vistria Group, highlighted the competitive edge specialty MGAs hold as carriers increasingly partner with those equipped with data-driven infrastructures. Senior partner Mike Castleforte further emphasized the Lumen platform's significant scale and potential for continued growth, positioning it as a leader in the evolving insurance sector.
