Gryphon Holdings Announces Acquisition of PrimeOne Insurance

Gryphon Holdings has announced an agreement to acquire PrimeOne Insurance Company, a major private commercial insurance provider in the U.S. The financial details of this strategic acquisition remain undisclosed, underscoring a focus on industry growth through integration. PrimeOne, known for its expertise in underwriting, risk management, and regulatory compliance, will function as a primary underwriting entity within Gryphon Holdings upon deal completion.

Enhancing Service Offerings and Strategic Growth

PrimeOne specializes in property and casualty insurance, working closely with program administrators and managing general agents. The acquisition is set to expand PrimeOne's service possibilities, offering clients and partners a comprehensive access to global risk and capital markets. According to PrimeOne president, David Thorson, this partnership will deliver "long-term strategic capital and a broader platform to enhance our underwriting capabilities," while maintaining their client-focused approach.

Strengthening Gryphon’s Insurance and Reinsurance Capacity

Supported by Phoenix Merchant Partners, Gryphon Holdings is dedicated to expanding capacities in insurance, reinsurance, and investments across specialized markets. The acquisition of PrimeOne aims to fortify Gryphon’s existing platform, which includes MGA incubation and asset management. Gryphon's CEO, Erin Brennan Bagley, expressed enthusiasm about this strategic move, noting that the addition of PrimeOne aligns with Gryphon’s vision of creating an innovative platform for investors and insurance market participants.

The transaction is expected to close in the first quarter of 2026, pending regulatory approval. This move follows a strategic expansion trend within the insurance sector, marked by Gryphon-backed Freedom Underwriters' recent announcement to acquire Concert Group, highlighting their commitment to broadening market influence and capabilities.
