Mitsui Sumitomo Insurance Acquires Stake in U.S. Insurer W. R. Berkley

Japanese property and casualty insurer Mitsui Sumitomo Insurance (MSI), part of the MS&AD Insurance Group, has acquired beneficial ownership of at least 12.5% of W. R. Berkley’s outstanding common stock. This purchase follows MSI's agreements with the Berkley Family, shareholders of W. R. Berkley, which hold voting rights associated with these shares, generally aligning with family decisions except in exceptional cases. MSI plans to complete its investment by the first quarter of 2026, aiming to increase its stake to 15% through open market purchases or private transactions. Under the agreements, once MSI’s ownership reaches the 12.5% threshold, the Berkley Family will recommend the nomination and election of an MSI director to W. R. Berkley’s board, subject to existing board procedures and shareholder approval. Despite the new MSI nomination, the Berkley Family will maintain two director positions on the board, ensuring continued family influence. W. R. Berkley is one of the major commercial property and casualty insurers in the U.S. with international operations. This strategic equity acquisition signifies MSI’s expansion into the U.S. commercial insurance market, enhancing its global footprint beyond its primary base in Japan where it provides personal and commercial insurance. MSI’s reach extends across 41 countries and regions, strengthening its positioning through significant investments. In a related transaction, MSI recently agreed to purchase an 18% equity stake in Barings, the asset management division of Massachusetts Mutual Life Insurance Company (MassMutual). This deal will provide MassMutual with approximately $1.44 billion in cash, highlighting MSI’s interest in broadening its investment portfolio within the U.S. financial services and insurance sectors. These transactions reflect broader trends of international insurers seeking deeper engagement with U.S. insurance markets through equity stakes and governance roles. MSI’s planned board representation on W. R.
